To Our Future Customers, Employees, Partners, Investors, Students, and Stewards,

There is a question that has followed me throughout much of my life:

F O U N D I N G P R O S P E C T U S · 2 0 2 6

"WHAT DO WE LEAVE BEHIND?"

Not what we accumulate. Not what we acquire. Not what we possess. What do we build that remains useful to others after we are gone?

For generations, some of the world's most respected institutions have answered that question through innovation, craftsmanship, education, philanthropy, and service. This Prospectus is the result of a belief that such institutions can still be built today.

Myers Corporation was never envisioned as a company that simply manufactures products. It was envisioned as an institution — capable of producing exceptional products while simultaneously creating opportunity; generating profit while remaining committed to purpose; competing globally while remaining rooted in community.

The world does not need another luxury brand. What the world needs are institutions that recognize their responsibility to future generations. Every product exists to support something larger: a scholarship, a student, an artist, a teacher, an entrepreneur, a worker seeking opportunity.

The Myers Corporation is founded upon a simple conviction: that profitability and purpose are not opposing forces; that innovation and stewardship can coexist; that luxury and community impact can reinforce one another.

The purpose of a founding generation is not to finish the work. The purpose of a founding generation is to begin it properly.

Not merely to build products. But to build legacy.
Not merely to generate profit. But to create opportunity.
Not merely to succeed for a moment. But to endure for generations.

Thank you for taking the time to read this Prospectus. The work begins now.

Respectfully,

Aaron L. Myers

GOVERNING PRINCIPLES FOR A GENERATIONAL INSTITUTION

01

GOVERNANCE BEFORE GROWTH

We build the institution before we scale the enterprise. Governance is not a constraint — it is the foundation on which everything else stands.

02

INSTITUTION BEFORE MANUFACTURING

We are not a product company with a mission. We are a mission-driven institution that produces exceptional products.

03

ALIGNED CAPITAL BEFORE AVAILABLE CAPITAL

We choose investors who share our values, not merely those who write the largest check.

04

WE THINK IN GENERATIONS, NOT QUARTERS

Our success metrics extend 150+ years across six generations. Every decision is weighed against its long-term institutional impact.

05

INSTITUTION BEFORE MANUFACTURING

The Founder serves the institution. The institution serves the community. The community creates the legacy.

06

THE 13% COMMITMENT

A minimum of 13% of annual pre-tax profit funds the Myers Foundation permanently — profit with purpose, by design.
